These Terms & Conditions govern your use of the Tindari website and our advisory services. By accessing our site or engaging our services, you agree to these terms. Please read them carefully.
1. Definitions
- "Agreement" means these Terms & Conditions together with any written engagement proposal accepted by the Client.
- "Service" means quality management advisory services provided by Tindari, including the Quality Habits Review, Quality Process Engagement, and Quality Practice Programme.
- "Client" or "You" means the organisation or individual requesting or receiving the Service.
- "We", "Us", "Our" refers to Tindari, operating from Level 10, Menara Axis, 2 Jalan 51A/223, 46100 Petaling Jaya, Selangor, Malaysia.
- "Deliverable" means any written document, checklist, guide, or material produced by Tindari as part of an engagement.
2. Acceptance of Terms
By using this website or submitting an enquiry form, you represent that you are at least 18 years of age and have the authority to enter into agreements on behalf of the organisation you represent. Engagement with our services constitutes acceptance of these terms.
3. Service Description
Tindari provides business advisory services focused on operational quality management. Our services are educational and advisory in nature. We provide general information, observations, and recommendations based on our assessment of your organisation's situation. We do not provide legal, accounting, medical, or regulatory compliance advice.
Our services are available to organisations operating primarily in Malaysia. We reserve the right to decline engagements where we assess that our services are not a suitable fit.
4. Engagement and Proposals
All engagements begin with a written proposal outlining scope, deliverables, timeline, and fees. An engagement commences only upon written acceptance of the proposal by the Client. Tindari will not begin substantive work before acceptance is confirmed.
Any changes to scope during an engagement must be agreed in writing by both parties before the additional work commences.
5. Payment Terms
Fees are denominated in Malaysian Ringgit (RM). Payment terms are set out in the engagement proposal. Unless otherwise agreed:
- A deposit of 50% is payable upon acceptance of the proposal
- The remaining balance is payable upon delivery of the final Deliverable
- Payment is accepted via bank transfer to details provided in the invoice
Late payment may result in a pause of engagement activities. Tindari reserves the right to apply a late payment fee in accordance with applicable Malaysian law.
6. Cancellation and Refunds
If the Client cancels an engagement after the proposal is accepted but before work commences, the deposit is non-refundable. If cancellation occurs after work has commenced, fees will be proportionate to work completed up to the cancellation date. Tindari may cancel an engagement at any time if the working relationship is no longer viable, with a pro-rated refund of fees for work not yet performed.
7. Intellectual Property
Upon full payment, Tindari grants the Client a non-exclusive, non-transferable licence to use the Deliverables for the Client's internal business purposes. The Client may not resell, sublicense, or publish Deliverables as their own original work. Tindari retains all underlying intellectual property in its methodologies, frameworks, and template structures.
8. Confidentiality
Both parties agree to treat as confidential all proprietary or sensitive information shared during an engagement. Tindari will not disclose Client-specific information to third parties. This obligation survives the termination of the engagement for a period of three years.
9. Disclaimers
Tindari's advisory services are provided in good faith based on our assessment of information available at the time. We do not warrant specific outcomes from implementing our recommendations. Results depend on factors outside our control, including the Client's implementation decisions, team capacity, and operational environment.

10. Limitation of Liability
To the extent permitted by Malaysian law, Tindari's total liability to the Client under any engagement shall not exceed the total fees paid by the Client for that engagement. We shall not be liable for indirect, consequential, or special damages arising from the use of our services or recommendations.
11. Indemnification
The Client agrees to indemnify and hold Tindari harmless from any claims, losses, or expenses arising from the Client's use or misuse of Deliverables, or from information the Client provided that was inaccurate or misleading.
12. Termination
Either party may terminate an engagement by giving 7 days' written notice. Obligations arising before termination (including payment for work completed) survive termination. Tindari may terminate immediately in cases of material breach by the Client.
13. Governing Law and Dispute Resolution
These terms are governed by the laws of Malaysia. Any disputes arising from these terms or an engagement shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be referred to the courts of Malaysia, with jurisdiction in Selangor.
14. Website Use
You may use this website for lawful purposes only. You must not attempt to gain unauthorised access to any part of the website, introduce malicious software, or use automated tools to scrape content without permission. We reserve the right to withdraw or amend website content without notice.
15. Changes to These Terms
We may update these terms periodically. The current version will be posted on this page with the updated date. Continued use of our website after changes are posted constitutes acceptance of the revised terms.
